Terms of Service

Effective Date: August 7, 2024

These Terms of Service ("Terms") govern your use of services provided by People OS, Inc. d/b/a Modus AI ("Modus," "we," "us"). By purchasing, paying for, or using our services, you agree to these Terms and our Privacy Policy.

1. Services

Modus provides AI-powered tools, automation, and related services ("Services") as described in your scope document, invoice, or other written agreement.

2. Fees & Payment

• Fees are as stated in your scope document or invoice.
• Payments are due as billed (e.g., via Stripe).
• All payments are non-refundable.
• Failure to pay may result in suspension or termination of Services.

3. Term & Commitment

• Services begin on the agreed start date.
• Services are billed monthly with a 3-month minimum commitment.
• The initial term is 3 months.
• After the initial term, Services automatically renew in successive 3-month periods unless canceled with written notice prior to the next renewal.

4. Cancellation

• You may cancel with written notice.
• Cancellation must be provided at least 7 days before the end of the current term.
• If within a minimum commitment period, remaining fees are still owed.
• After the commitment period, cancellation applies to future billing cycles.

5. Scope of Services

• Services are limited to what is explicitly outlined in your scope document.
• Any additional work or features may require separate agreement or fees.

6. Customer Responsibilities

You agree to:

• Provide accurate information and access required for Services.
• Comply with applicable laws.
• Ensure you have the rights to any data you provide.
• Not misuse, copy, or attempt to reverse engineer any Modus systems.
• Be responsible for any third-party fees, accounts, and services required to use the Services (e.g., Meta advertising costs, Twilio fees, or Mindbody subscription fees).

7. Access & Use

• Services are for your internal business use only.
• Each user should use their own login credentials.
• You may not share access with unauthorized third parties.
• You may not copy, reverse engineer, or misuse the Services.

8. Data & Privacy

• You grant Modus permission to access and use data necessary to provide Services.
• Modus may integrate with third-party systems (e.g., CRM, advertising platforms).
• Modus is not responsible for the performance, availability, or policies of third-party services.
• Modus processes data in accordance with its Privacy Policy.

9. Intellectual Property

• Modus retains all rights to its tools, systems, and technology.
• You retain ownership of your data.

10. Disclaimer

Services are provided "as is" without warranties of any kind. Modus does not guarantee specific results (e.g., leads, revenue, or conversions).

11. Limitation of Liability

To the maximum extent permitted by law:

• Modus is not liable for indirect, incidental, or consequential damages.
• Total liability will not exceed the amount paid by you in the prior 3 months.

12. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties, except as required to provide Services or comply with law.

13. Suspension & Termination

Modus may suspend or terminate Services if:

• Payment is not made.
• These Terms are violated.
• Continued service presents risk, security issues, or legal exposure.

14. Governing Law

These Terms are governed by the laws of the State of Delaware.

15. Acceptance

By purchasing or paying for Services, you:

• Agree to these Terms.
• Agree to our Privacy Policy.
• Agree to any scope, pricing, and commitment outlined in your associated documents.
